Welcome to LucidityLabs.ai™ (including its services, platforms, and mobile app Lucid Path™)—owned and operated by Lucidity Labs, LLC (“we,” “us,” “our”). These Terms of Use (“Terms”) govern your access to and use of our website, applications, content, and services (collectively the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use our Services.

1. Definitions & Scope

  • “User,” “you,” or “your” refers to any individual or entity accessing or using the Services.

  • “Content” includes all data, text, images, audio, video, codes, reports, AI-generated insights, and documentation provided through the Services.

  • “User Content” refers to any content you submit, upload, or contribute via the Services (e.g., journaling entries in LucidPath™).

  • “Subscription Services” or “Paid Tiers” refer to those parts of the Services that require payment or membership (e.g., Lucidity Edge tier).

  • These Terms apply to all users (free, trial, and paying) of the Services.

2. Eligibility & Acceptable Use

  • You must be at least 18 years old (or of legal age in your jurisdiction) to register.

  • You represent that you have the legal authority to bind yourself or the entity you represent.

  • You agree to use the Services lawfully and not:

    • Violate intellectual property rights, privacy rights, or publicity rights

    • Use bots, scrapers, or automated means to access the Services

    • Interfere with the proper functioning or security of our Services

    • Use the Services to transmit spam, malware, or harmful content

3. Account, Subscription & Payment

  • To access certain features and paid tiers (e.g. Lucidity Edge™), you must register an account and provide valid payment information.

  • Subscriptions automatically renew unless canceled prior to the next billing cycle.

  • We reserve the right to suspend or terminate your access to Subscription Services if payments are declined.

  • Cancellation: you may cancel at any time, but you will not receive a refund for the completed billing period.

  • We may change subscription rates with prior notice; continued use constitutes acceptance.

4. License & Use Rights

  • We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use, subject to these Terms.

  • You may download or stream content only for permitted uses; redistribution, resale, or modification is prohibited unless explicitly granted.

  • All rights not expressly granted are reserved by Lucidity Labs, LLC.

5. User Content & Data

  • You retain rights to your User Content. By posting or submitting it, you grant us a worldwide, royalty-free license to use, display, reproduce, and adapt it as needed to provide the Services (e.g., backups, indexing, algorithmic processing).

  • You represent that your User Content does not violate any rights or laws.

  • We may remove or disable content that violates these Terms.

6. Privacy & Data Protection

  • Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • We implement reasonable security measures to protect user data but cannot guarantee absolute security.

  • By using the Services, you consent to certain data collection and processing (including for AI insight generation) as described in our Privacy Policy.

7. Disclaimers & Limitation of Liability

  • As-Is: Services and Content are provided “as is,” without warranties of any kind (express or implied), including fitness for a particular purpose, non-infringement, or accuracy.

  • No Guarantees: We do not guarantee results—e.g. insight outcomes, prediction accuracy, or professional outcomes from following guidance.

  • Limitation of Liability: To the maximum extent allowed by law, Lucidity Labs, LLC and its affiliates will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or business interruption arising from your use of the Services.

  • Cap on Liability: Our total liability will not exceed the amount you have paid in subscription fees in the past 12 months.

8. Termination & Suspension

  • We may suspend or terminate your account and access (at our discretion) for violation of these Terms or if we suspect misuse.

  • You can terminate by stopping use and deleting your account.

  • Provisions that by nature survive termination (e.g., intellectual property, disclaimers, limitation of liability) will still apply.

9. Intellectual Property

  • All trademarks, service marks, logos, and content (excluding User Content) are owned by Lucidity Labs, LLC or its licensors.

  • You agree not to remove or alter any copyright, trademark, or proprietary notices.

10. Modifications to Terms

  • We may change or update these Terms at our discretion.

  • Material changes will be communicated (e.g., via email or in-app notice).

  • Continued use after modifications constitutes acceptance.

11. Governing Law & Dispute Resolution

  • These Terms will be governed by the laws of Delaware, USA, without regard to conflict-of-law rules.

  • Any dispute must be resolved in arbitration / court jurisdiction in that location.

  • You agree to venue, jurisdiction, and service of process there.

12. General Provisions

  • Severability: If any provision is invalid or unenforceable, the remainder stays in full force.

  • Entire Agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and us.

  • Waiver: No waiver of any term is a waiver of subsequent enforcement.

  • Notices: We may send notices via email or posting on our website; you should keep your contact information updated.
